TRI COUNTY ATV ASSOCIATION INC. BY LAWS

The principal office of the corporation shall be in the Town Of Oneonta , County Of Otsego, of New York State .The corporation may also have offices at other such counties as the board may from time to time determined or as required by the Corporation .

ARTICLE I: NAME- The name of the club shall be the Tri County ATV Association Inc.

ARTICLE II: PURPOSE- The purpose of the Tri County ATV Association, Inc. is to promote the sport of ATVing through disseminating of safety information, public awareness and respect for the environment. We are predominantly a family oriented group that enjoys riding ATV's and having fun, with a further goal of promoting user cooperation (such as "shared trail") with other outdoor and environmentally aware people. We require that member's ATV's be registered, insured and all members must wear helmets as required by New York State law.

ARTICLE III: MISSION- Our Mission shall be to create a state-wide forum of open communication with ATV enthusiasts and the public. This partnership will help us to raise the public image of the sport, as well as establish statewide trail systems and open new riding areas.

ARTICLE IV: COMPOSITION- The membership of the Club shall be open to all who enjoy the sport of ATVing or those who support our purpose and mission. Membership in this Club shall be non-discriminatory in basis without regard to gender, race, creed, color or national origin. All Members shall have equal say in the Club and it's activities. Membership shall be on going, subject to termination for good cause, as determined by the Executive Committee and the established polices of this Club

ARTICLE V: OFFICERS AND BOARD OF DIRECTORS- The elected officers of this Club shall be President, Vice President, Secretary, and Treasurer. These officers shall constitute the Executive Committee and shall have the authority to act on behalf of the Club between membership meetings. The Board of Directors, to include the Executive Committee, shall not exceed 11 members and shall be elected in accordance with these by laws for the purpose of bringing representation from various communities of the Club. Each member of the Board of Directors shall have voice and vote. All members of the Board of Directors and officers shall be at least 18 years of age.

ARTICLE V: I

A: REMOVAL OF DIRECTORS

Any or all of the directors / officers may be removed for cause by vote of the members or action of the board. Directors / Officers may be removed without cause only by vote of the members.

ARTICLE V: II

B: RESIGNATION

A director may resign at anytime by giving written notice to the board, the president or the secretary of the corporation. Unless otherwise specified in the notice, the resignation shall take effect upon the receipt there of by the board or such office, and the acceptance of the resignation shall not be necessary to make it effective.

ARTICLE V: III

C: QUORUM OF DIRECTORS

Unless otherwise provided in the certificate of incorporation ,a majority of the entire board shall constitute a quorum for the transaction of any specified item of Business.

ARTICLE V: IV

D: ACTION OF THE BOARD

Unless otherwise required by law, the vote of a majority of directors/ officers present at the time of the vote, if a quorum is present at such time ,shall be the act of the board and each director / officer present shall have one vote.

ARTICLE V: V

E:PLACE AND TIME OF BOARD MEETINGS

The board may hold its meetings at the office of the corporation or at other such places, either within or without the state, as it may from time to time determine.

ARTICLE V: VI

F: REGULAR ANNUAL MEETING

A regular annual meeting of the board /officers shall be held at a time and place determined by a majority of board /officers of the corporation.

DUTIES OF THE OFFICERS-

President- the president shall have the primary responsibility for the legal and financial affairs of this club.

The President shall preside at all meetings of the Club, Executive Committee, and the Board of Directors.

The President shall vote only in the event that the Executive Committee or Board of Directors needs a tie breaker.

Duties of the President include assisting fellow officers, advisors and members to promote interest in the Club activities.

Vice President- the Vice President shall perform all duties for the President in his/her absence.

The Vice President shall keep current on all affairs of the Club and to assist with the duties of the President when asked to.

Secretary- the secretary shall keep a record of the meetings of this Club.

The Secretary shall be responsible for the legal records of the Club and to perform other duties that generally fall in this category.

Treasurer- the, Treasurer shall have the primary responsibility of the financial records of the Club.

The Treasurer shall be and hereby is authorized to open a bank account in behalf of the corporation.

The Treasurer shall oversee and record collection of dues and all other monies due to the Club.

Duties are to ensure that all financial transactions,be listed and a breakdown of those transactions listed in a ledger. A cash received transaction be listed with the Name of the entity received from, date , purpose and the amount posted . (Ie John Doe - 04-01- 2006- Dues - $35.00), ( Ie Gift Card Raffle -Sales- John Doe- 04 -01- 2006 - $150.00) regardless of the order but all information included .And all Check & Cash Deposits,be broken down as cash or checks received when listed or by separate deposits checks vs. Cash.

Authorization of those persons authorized to Sign checks for any reason is the President of the Club and/or the Vice President in the President’s absence. The authorization for checks to be a signature of the Treasurer, or Vice President in the Treasurer’s absence and they draft all checks and sign as a party to the checks drafting. Ensure a stop and forbid any cash payments for any reason to anyone and to report any violation or the action of such to the Club entity.

No payments are to be made to anyone without a receipt approved by the members collectively by vote and then Initialed by authorized Officer.

Duties also include paying lawful expenses, following above procedure authorized in a timely manner. This shall also include presenting the Board of Directors with a financial report at each meeting.

At the discretion of the Executive Committee, the Treasurer books shall be subject to audit not less than annually by a committee appointed by the President consisting of non Executive Committee members.

Public Relations- Shall be responsible for the newsletter, calendar of events cards, vendors, advertising, thank you replies, posters, distribution of the club information, etc........

Land Manager- Shall be responsible for the upkeep and procurement of property.

Events Coordinator- Shall oversee events, security, cook shack, admissions, parking, money, trophies and club booth.

Webmaster- Shall be responsible for our website.

Club Representatives- Shall be DEC and NYSORVA contacts for the club.

Election Process- All officers shall be nominated and elected by vote.

All nominations shall be made at the March meeting, with elections at the March meeting and terms beginning at the April meeting.

All officers terms will be (1) year.

All members having current dues paid shall be eligible for election.

ARTICLE VI: MEMBERSHIP AND DUES- There shall be 4 classifications of membership.

Description Of a Member : Is a person at least 18 years of age. Anyone under 18 years of age will be known as a dependant of a member and allowed to ride under the direct supervision of a parent, and must be in compliance with NY State Law regarding Insurance & safety equipment until reaching the age of 18.

Individual Membership- $35.00 per year

Sponsored Membership- $35.00 per year

Note * A-sponsored membership is to allow a person to become a member, when the person applying to be a member is at least 18 years of age and does not own a 4 wheeler and has access to use /ride a 4 wheeler owned by a club member, and that members 4 wheeler is in compliance with the laws of the state of New York and such proof of registration and insurance is documented by the member who sponsors that person.

It shall also be the responsibility of the member that owns the 4 wheeler, to contact his /her insurance company, to ensure that the sponsored member being allowed to use / ride the 4 wheeler is covered under the terms of his /her policy. The sponsoring member shall also sign the sponsored members application to join Tri County ATV Association Inc. and by doing so attests the above has been completed and the application is documented proof and therefore the applying sponsored member and the sponsoring member releases Tri County ATV Association Inc, Its Officers and Members of any and all liabilities.

Associate Membership- $15.00 per year

Business Membership- $50.00 per year

The membership year will be from April 1 st through April 1st.

ARTICLE VII: MEETINGS - The meetings of this Club will be held on the 1st Monday of each month (with exceptions of holidays) at 7:00 P.M. at a place designated and to be determined by the Board . All meetings shall consist of new and old business and anything to better the goals of the Club. The annual meeting of the board shall be held immediately following a meeting of the members meeting on a date to be determined by the Board .

ARTICLE VIII: COMMITTEES - The President shall appoint committees as necessary from time to time for specific purposes. Upon completion of their assignment such committees shall be discharged.

ARTICLE IX: BY LAWS AMENDMENTS- These by-laws may be amended by a two-thirds Vote of those members present at a meeting.

ARTICLE X: DISSOLUTION OF THE CLUB- This club may be disbanded and dissolved by a two-thirds vote of the general membership upon the determination that the Club is no longer viable or effective in achieving it's purpose, mission, or vision. Upon dissolution and after Satisfying all legal and financial obligations and liabilities, the Executive Committee shall sell all club assets and the money be either donated to an agreed on charity or a function to show appreciation to current members sponsors & landowners, as approved by a two thirds vote of club members.
